Clients acknowledge that improvements in visibility, rankings, traffic, engagement, inquiries, conversions, sales performance, or website effectiveness may develop gradually over time depending on:

- Market demand
- Existing account condition
- Website condition
- Advertising investment
- Customer response
4 Client Responsibilities
The client agrees to:
- Provide accurate and complete business information
- Provide required account access when necessary
- Provide product information, images, content, and branding materials as requested
- Maintain product and service quality standards
- Follow applicable marketplace and platform policies
- Implement recommendations where applicable
- Maintain legal compliance for their products and business operations
- Review and approve website designs, content, and deliverables in a timely manner
- Maintain domain registration and hosting services unless otherwise agreed
Timely cooperation and communication from the client are essential for smooth project execution and optimal service delivery. Failure to provide required information, access, approvals, or cooperation may affect service performance, project timelines, and overall outcomes.
5 Marketplace & Platform Compliance
Clients are solely responsible for ensuring that their products, services, listings, content, websites, and business activities comply with the policies and requirements of all marketplaces, platforms, hosting providers, payment gateways, and regulatory authorities.
Ecommerce Mineral Business Consultancy provides guidance and support where applicable; however, final responsibility for compliance remains with the client.
We shall not be responsible for:
- Account suspensions
- Listing removals
- Policy violations
- Marketplace penalties
- Account restrictions
- Product bans
- Regulatory actions
- Website suspension by hosting providers
- Payment gateway restrictions
6 Website Development Terms
For website development projects:
- Project timelines are estimates and may vary based on project complexity and client responsiveness.
- Clients are responsible for providing content, images, logos, product information, and approvals required for project completion.
- Any additional features, revisions, integrations, or changes beyond the agreed scope may incur additional charges.
- Domain registration, hosting, premium themes, plugins, third‑party tools, APIs, and software licenses are the responsibility of the client unless specifically included in the proposal.
- Website compatibility with future browser updates, platform updates, or third‑party software changes may require additional maintenance or updates.
- Clients are responsible for maintaining backups and security after project handover unless a maintenance agreement is in place.
7 Payment Terms
- All service fees are payable in advance unless otherwise agreed in writing.
- GST and applicable taxes will be charged as per law.
- Work will commence only after payment confirmation.
- Delayed payments may result in service suspension or termination.
- Any third‑party software, advertising, marketplace, subscription, hosting, domain, plugin, theme, API, or platform fees are the responsibility of the client unless specifically included in the service agreement.
8 Refund Policy
Ecommerce Mineral Business Consultancy invests professional time, expertise, research, planning, consultation, optimization, content creation, development, and implementation efforts into every project and service engagement.
Once work has commenced, resources are allocated specifically for the client's project and therefore payments made for completed or ongoing services are generally non‑refundable.
Refund requests will be reviewed on a case‑by‑case basis; however, refunds will typically not be applicable where:
- Agreed services have already been delivered or initiated
- Research, consultation, strategy, optimization, design, development, or management work has been performed

- The client chooses not to implement recommendations provided
- Delays or performance issues arise due to lack of client cooperation, approvals, or required information

As service‑based work involves intellectual effort and professional resources that cannot be returned once utilized, completed work remains non‑refundable.
9 Early Termination of Long-Term Plans
For any long‑term service plan, including but not limited to 3‑month, 6‑month, 12‑month, website maintenance, or custom‑duration agreements:
If the client chooses to discontinue services before the agreed contract period ends:
- Completed service periods will be billed at the standard applicable rate.
- Any promotional discounts or package discounts may be adjusted.
- Any eligible remaining balance, if applicable, may be refunded after adjustment within 7–14 business days.
- No refund will be provided for completed work, completed service periods, or completed development milestones.
10 Reporting & Deliverables
Clients may receive reports, updates, recommendations, or deliverables related to services purchased, including but not limited to:

- Keyword research
- Competitor analysis
- Marketing recommendations
- Advertising observations
- Store performance reviews
- Business growth recommendations
- Strategy consultations

- Technical implementation reports
Completion of agreed work, consultations, reports, recommendations, optimizations, development milestones, or deliverables shall constitute successful delivery of the service.
11 Intellectual Property
Any content, reports, strategies, recommendations, templates, documents, graphics, designs, source files, code, or materials created by Ecommerce Mineral Business Consultancy remain the intellectual property of Ecommerce Mineral Business Consultancy unless otherwise agreed in writing.
Upon full payment of the agreed project fees, ownership of the final website deliverables may be transferred to the client, excluding third‑party software, licensed themes, plugins, frameworks, or proprietary tools.
Clients may use delivered materials solely for their own business purposes.
12 Limitation of Liability
